Jadrová energetická spoločnosť Slovenska, a. s. is incorporated in the Commercial Registry

Jadrová energetická spoločnosť Slovenska, a. s. (JESS, a.s.) was incorporated onto Commercial Registry on 31st of December 2009. The foundation of the company, which will deal with one of the most significant projects in the Slovakia’s history, was approved by the Government of the Slovak Republic in a parliamentary session held on 9th of December 2009. 12. 2009.

The establishment of Jadrová energetická spoločnosť Slovenska, a. s. enabled the commencement of the construction project of the new nuclear power plant in Jaslovské Bohunice.
JAVYS will have a 51% share while CEZ Group will own 49% in the joint venture. The registered capital of JESS Company was defined as 216 357 000 EUR (6,52 bil. SKK). The managerial control of the company will work on the principle of equality and the consensus of both partners, which will be present in all company bodies. 51% share of Slovak JAVYS entitles this company to nominate the Chief Executive Officer and the Chairman of Board of Directors in JESS bodies, as well as a Chairman of Supervisory Board of the Company.

Štefan Šabík, former Director of Managing Division of JAVYS, a.s., became Chairman of the Board of Directors and Chief Executive Officer of Jadrová energetická spoločnosť Slovenska, a. s.

Slovak JAVYS put a non-monetary contribution of 119 693 178 EUR (3,61 bil. SKK) into the joint venture (including a contribution of corporate surplus) corresponding to 51% share in the registered capital of JESS, a.s. In particular, it presents parcels, buildings, technical studies, staffing, liabilities, duties and other assets and debts without which it will not be possible to build the nuclear power plant. Simultaneously, JAVYS invested 1 683 099 EUR (50,61 bil. SKK).
ČEZ Group contributed to the joint venture a core capital in the form of monetary contribution (including a contribution of corporate surplus) the total amount of which was 116 616 423 EUR (3,51 bil. SKK) corresponding to 49% share in the registered capital of JESS, a.s.

Both partners of the project are bound by a common history. Until 1993 the Czech and Slovak Republics had a common power system. Both countries jointly built nuclear power plants based on a pressurized water reactor technology (Jaslovské Bohunice, Dukovany, Temelín, Mochovce), up to now they have a similar structure of power sources, legal and regulatory environment as well as continuing commercial and personal links.

Furthermore, the foundation of Jadrová energetická spoločnosť Slovenska, a. s. was approved by the European Commission in November of 2009.

In just the first 12 to 18 months since the company was founded, the completion of the Feasibility Study is expected. The study will review site conditions, evaluate the suitability of available technologies, define the installed output, provide a description of project organization, its contractual logistics, describe financial and economical aspects of the project as well as construction costs.

The construction of new nuclear power plant in Jaslovské Bohunice would be one of the most significant investments in Slovak history. Operation of the nuclear power plant assures energy self-sufficiency and the strategic security of the Slovak Republic and supports employment and enhances the competitive environment of the electricity market. Considering the fact that the Slovak State is a stockholder of JESS Company, the State can allow for significant profits in the form of direct and excise taxes as well as stock dividends.

Curriculum vitae of members of Board of Directors of Jadrová energetická spoločnosť Slovenska, a. s.

Ing. Štefan Šabík – Chairman of the Board of Directors
Ing. Štefan Šabík is a graduate from the Faculty of Mechanical Engineering of the Slovak Technical University in Bratislava. He tied his professional activities together with nuclear power industry and started to work in Slovenské elektrárne, a.s., at Mochovce Nuclear Power Plant. He has continued to work there since 1984 in such positions as investment construction technician, plant manager’s assistant, head of training department, head of division of employee matters and remuneration and plant manager deputy for human resources and services. In 2004 – 2006 he was an Executive Director for Human Resources of SE, a.s. Since 2007 he worked in Jadrová a vyraďovacia spoločnosť, a.s. in position of Management Division Director.

Ing. Ivo Kouklík, MBA, Vice Chairman of the Board of Directors
Ivo Kouklík graduated from CVUT, Faculty of Nuclear and Physical Engineering (Department of Theory and Technology of Nuclear Reactors). He studied for an MBA in Prague International Business School. He has worked in power industry since 1983. He started his career as primary circuit operator, Unit supervisor, deputy of plant manager for nuclear safety and technology. He later became a plant manager of Dukovany NPP. He was in charge of safety of both nuclear power plants within the ČEZ Group and also worked as Technical Development Director. Since 2006 he was responsible for preparation of studies and analyses for new nuclear power plants, in particular for the Temelín NPP. As an expert, he took part in an international review mission organized by the International Atomic Energy Agency. Last year he was head of a common team of JAVYS – ČEZ as a representative of ČEZ Group that had to establish and create a joint venture for construction of new nuclear power plant in the Jaslovské Bohunice in conjunction with its Slovak partner (JAVYS).

Ing. Pavel Janík, member of Board of Directors
Pavel Janík graduated from Faculty of Civil Construction of CVUT in Prague. He worked as Project Manager in ŠKODA POWER company where he executed power projects for Latin America and Europe. Later he worked as Business Development Manager for the PRAMACOM Group and as Executive Director of MEOPTA SYSTEMS company. Since 2007 he has been a member of the ČEZ Mergers and Acquisitions Team and as a project manager responsible for M&A transactions in the Russian Federation, Serbia and Slovakia. These transactions included the joint project of JAVYS and ČEZ for the construction of the new nuclear power plant in Jaslovské Bohunice.

Ing. Ján Červenák, member of Board of Directors
Ján Červenák graduated from the Faculty of Business Economy of Production Industry of University of Economics in Bratislava. Since 1980 he worked in Slovenské energetické strojárne, a.s. Tlmače in economics. In 1996 – 1999 he worked in the Tax Directorate of the Slovak Republic in Banská Bystrica as the Deputy of General Director for Informatics and Administration. In 1999 – 2003 he worked as director for economy and trade of SES TVP Želiezovce and director of Fajne company in Tlmače. Since 2003 he worked as Deputy of General Director for Administration in the Tax Directorate of the Slovak Republic in Banská Bystrica.

Ing. Tomáš Vavruška, member of Board of Directors
In 1992 he graduated from the Faculty of Mechanical Engineering of the Slovak Technical University in Trnava, in field of mechanical technology with specialization in the automation of technological processes. In 1995 he commenced working in Slovenské elektrárne, a.s. at Bohunice Nuclear Power Plant as an investment construction technician. Two years later he worked in the Operation Division of V1 Nuclear Power Plant as Secondary Circuit Operator and since 2000 he has worked as Primary Circuit Operator. In 2008 – 2009 he worked in JAVYS, a.s. as head of the mechanical technology division of V1 NPP and as director of the section for asset management of V1 NPP.

Ing. Andrej Žiarovský, member of Board of Directors
Andrej Žiarovský graduated from the Faculty of Mechanical Engineering of the Slovak Technical University in Bratislava in the field of thermal power industry. Currently, he is studying for MBA in Prague International Business School. He started his professional career in aviation and logistics. He worked as technical director in Air Slovakia, spol. s r. o. and as director of the aircraft maintenance division of LET, a. s., Kunovice. He was employed in the Ministry of Transport, Postal Services and Telecommunications of the Slovak Republic as director of the civil aviation division. Since 2003 he works in power industry. He was an executive director of ALSTOM Power Slovakia, s. r. o., and he also was commercial director of ALSTOM Power Service for the Czech and Slovak Republics. Before commencing employment in ČEZ, a. s. he worked in Enel – Slovenské elektrárne, a. s. Since 2008 he has been employed in the ČEZ Group and manages the Expertise Support Department in the Investment Division.
